M&A is the core of our practice. In 2017, the partners of the firm completed seven transactions and worked on three additional ones, frequently acting as seller’s counsel. Clients include German Mittelstand companies and private equity firms, as well as foreign financial and strategic investors. Targets are in the industry and technology sectors, with a focus on automotive and software development, as well as chemicals, health care, logistics and other services.


We provide the full range of legal services required in a transaction - with the exception of tax advice - , including performing due diligence or organizing vendor due diligence, drafting and negotiating the SPA, dealing with employment matters, including integration issues, preparing filings for antitrust clearance, as well as enforcing or defending post-transaction claims. For IP matters, we work with specialized colleagues. For aspects of a transaction not governed by German law, we have a network of foreign law firms in Europe, the US and Asia to draw upon for expertise.


We have amply demonstrated that M&A deals in Germany can be executed very efficiently with regard to time and costs by using a small, dedicated team of “seasoned” practitioners.
